These Terms of Use (“Terms”, “Agreement”) govern your access to and use of AgentShiper.com and all related sourcing, supplier matching, manufacturing, logistics coordination, and cross-border supply chain services (the “Platform”). By using the Platform, you agree to be bound by these Terms.

2. About AgentShiper

AgentShiper (“we”, “our”, “the Company”) is an AI-powered supply chain coordination platform designed for sourcing, manufacturing, logistics, and cross-border trade between Mexico, Latin America, and the United States.

The Platform provides tools for supplier discovery, factory matching, production coordination, freight management, and workflow automation.

AgentShiper is not a manufacturer, freight carrier, customs broker, or logistics provider. All production, shipping, and compliance responsibilities remain with third-party suppliers and logistics operators.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have legal authority to enter into binding agreements
• Provide accurate business, sourcing, or operational information
• Use the platform for legitimate trade and supply chain purposes only

4. Account & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may suspend accounts that violate these Terms or present operational, legal, or security risks.

5. Buyers & Operators

Users agree to:

• Provide accurate sourcing, product, and shipment requirements
• Not misrepresent orders, demand, or logistics data
• Use the Platform only for lawful sourcing and trade activity
• Comply with import/export regulations and trade laws

6. Suppliers & Manufacturers

Suppliers agree to:

• Provide accurate production capabilities and timelines
• Comply with applicable labor and manufacturing regulations
• Not submit false or misleading capacity or pricing information
• Maintain quality and fulfillment standards

7. Fees & Payments

Certain features of the Platform may require payment, including sourcing tools, AI workflows, and logistics coordination services.

Users agree to pay all applicable fees disclosed at the time of purchase.

8. AI Tools & Limitations

AgentShiper uses AI to assist with supplier matching, logistics planning, sourcing recommendations, and operational coordination.

AI outputs are informational and may not reflect real-time pricing, availability, shipping times, or supplier performance.

Users are responsible for verifying suppliers, shipments, compliance, and final trade decisions.

9. Data Privacy

AgentShiper processes business, sourcing, and logistics data to enable supply chain coordination across global trade networks.

By using the Platform, you consent to data processing as described in our Privacy Policy. We do not sell user data.

10. Prohibited Activities

• Misrepresenting identity, orders, or supplier capability
• Submitting fraudulent or misleading sourcing requests
• Scraping or harvesting platform data without permission
• Attempting to bypass workflows or platform controls
• Using the platform for illegal trade or restricted goods

11. Termination

We may suspend or terminate access for violations of these Terms, fraud, misuse of the platform, or compliance risks.

12. Limitation of Liability

The Platform is provided “as-is.” We are not liable for delays, production issues, shipping errors, customs delays, or supplier performance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.
